These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, and “your”) and AIATOZ, a company incorporated under the laws of India, having its registered office in India (“AIATOZ”, “Company”, “we”, “us”, and “our”), governing your access to and use of the website, mobile applications, and related services (collectively, the “Platform”) through which instructors publish and sell courses and learners purchase and consume such courses.

1. Introduction and Acceptance

By creating an account, accessing, browsing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules posted on the Platform, all of which are incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

These Terms are published in accordance with the provisions of the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Consumer Protection (E-Commerce) Rules, 2020, and other applicable Indian laws, which require publishing the rules, regulations, and terms of use for access or usage of the Platform.

2. Definitions

  • “Content” means all video, audio, text, images, quizzes, assignments, and other material uploaded, published, or made available on the Platform.
  • “Instructor” means a User who creates, uploads, publishes, or sells Courses on the Platform.
  • “Learner” or “Student” means a User who registers for, purchases, or accesses a Course.
  • “Course” means any structured Content offered for enrolment or purchase on the Platform.
  • “Fees” means any amount payable by a Learner for access to a Course, or any commission, service fee, or subscription payable by an Instructor to AIATOZ.
  • “Account” means the registered profile created by a User to access the Platform.

3. Eligibility

You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to create an Account and use the Platform independently. Users between the ages of 13 and 18 may use the Platform only under the supervision and with the consent of a parent or legal guardian who agrees to be bound by these Terms on the minor’s behalf. AIATOZ reserves the right to refuse or terminate registration where eligibility criteria are not met.

By registering, you represent and warrant that all information you provide is accurate, current, and complete, and that you will maintain and promptly update such information.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must notify AIATOZ immediately of any unauthorised use of your Account or any other breach of security. AIATOZ shall not be liable for any loss or damage arising from your failure to comply with this obligation.

AIATOZ reserves the right to suspend or terminate any Account that it reasonably believes has provided false information, has been compromised, or has been used in violation of these Terms.

5. Nature of Platform; Role of AIATOZ

AIATOZ operates as an online intermediary/marketplace, within the meaning of the Information Technology Act, 2000 and rules made thereunder, that connects Instructors offering Courses with Learners seeking to purchase them. Except where a Course is created and offered directly by AIATOZ, AIATOZ does not itself create, own, verify, endorse, or guarantee the accuracy, completeness, legality, quality, or usefulness of any Course or Content offered by Instructors, and acts solely as a facilitator of the transaction between Instructor and Learner.

AIATOZ is not a party to, and disclaims any responsibility or liability arising out of, the underlying relationship, transaction, or dispute between an Instructor and a Learner, save as expressly set out in these Terms or as mandated by applicable law.

6. Instructor Terms

6.1 Content Ownership and License: Instructors retain all ownership and intellectual property rights in the Content they upload. By publishing a Course, an instructor grants AIATOZ a worldwide, non-exclusive, royalty-bearing licence to host, reproduce, distribute, publicly perform, publicly display, and promote such Content for the purpose of operating, marketing, and improving the Platform, for so long as the Course remains published.

6.2 Instructor Representations: Instructors represent and warrant that: (a) they own or have obtained all necessary rights, licenses, and consents to upload and monetize the Content; (b) the Content does not infringe the intellectual property, privacy, or other rights of any third party; (c) the Content is accurate, lawful, and does not violate any applicable law; and (d) the Content does not contain material that is defamatory, obscene, or otherwise objectionable under Indian law.

6.3 Commission and Payouts: AIATOZ shall retain a commission/service fee out of the Fees collected from Learners, as disclosed to the instructor at the time of onboarding or as updated from time to time on the Platform. Payouts to Instructors shall be processed in accordance with the payout schedule, minimum threshold, and applicable tax withholding (including TDS under the Income Tax Act, 1961, where applicable) specified in the Instructor policies.

6.4 Removal of Content: AIATOZ reserves the right, at its sole discretion, to review, reject, suspend, or remove any Course or Content that it believes violates these Terms, applicable law, or is subject to a valid complaint, without liability to the Instructor, and without obligation to provide advance notice where urgency or legal compliance so requires.

7. Learner Terms

7.1 License to Access Courses: Upon successful payment of applicable Fees, a Learner is granted a limited, non-exclusive, non-transferable, revocable license to access and view the purchased Course for personal, non-commercial, educational use only. No ownership right in the Course or underlying Content is transferred.

7.2 Restrictions: Learners shall not download (except where an explicit download feature is provided), copy, reproduce, distribute, sell, sublicense, publicly display, or create derivative works from any Course Content, nor share Account access or purchased Content with any third party.

7.3 Certificates: Any certificate of completion issued upon finishing a Course is provided for informational purposes only and does not constitute a professional accreditation, degree, or diploma unless expressly stated otherwise.

8. Fees, Payments, Taxes and Refunds

8.1 Payment Processing: All payments on the Platform are processed through third-party, RBI-authorised payment gateways. AIATOZ does not store your complete card or bank credentials, and such information is governed by the privacy and security policies of the respective payment processors.

8.2 Taxes: All Fees are exclusive of applicable taxes, including Goods and Services Tax (GST), unless stated otherwise, and such taxes shall be added at the applicable rate at checkout, in accordance with the Central Goods and Services Tax Act, 2017 and rules made thereunder.

8.3 Refund Policy: Refund requests for Course purchases will be evaluated in accordance with the refund window and conditions published on the Platform at the time of purchase. AIATOZ reserves the right to deny refund requests that are fraudulent, abusive, or made after substantial consumption of Course Content, in a manner consistent with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020.

8.4 Price Changes: AIATOZ and Instructors reserve the right to change Course prices at any time; such changes will not affect Fees already paid for an existing purchase.

9. Intellectual Property Rights

The Platform, including its design, layout, look and feel, trademarks, logos, software, and all AIATOZ-owned Content, is the exclusive property of AIATOZ and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws. Nothing in these Terms grants you any right or license to use AIATOZ’s trademarks, trade names, or branding without prior written consent.

If you believe that any Content on the Platform infringes your intellectual property rights, you may submit a written takedown notice to the Grievance Officer specified in Clause 16, providing sufficient detail to identify the Content and the basis of the claimed infringement.

10. Acceptable Use and Prohibited Conduct

You agree not to:

  • Upload or transmit any Content that is unlawful, harassing, defamatory, obscene, hateful, or infringes the rights of any third party;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Reverse engineer, decompile, scrape, or attempt to extract the source code of the Platform;
  • Use any automated means (bots, crawlers, scripts) to access the Platform without prior written permission;
  • Circumvent or attempt to circumvent any content protection, DRM, or access control measures;
  • Upload viruses, malware, or engage in any activity that disrupts or degrades the Platform’s functioning;
  • Use the Platform for any fraudulent, illegal, or unauthorised commercial purpose.

Violation of this Clause may result in immediate suspension or termination of your Account, in addition to any other remedies available to AIATOZ under law.

11. Third-Party Links and Services

The Platform may contain links to third-party websites, payment processors, or services that are not owned or controlled by AIATOZ. AIATOZ assumes no responsibility for the content, privacy policies, or practices of any third-party service, and your interactions with such third parties are solely between you and them.

12. Disclaimer of Warranties

The Platform and all Courses and Content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. AIATOZ does not warrant that the Platform will be uninterrupted, error-free, or secure, or that any Course will meet your expectations or result in any particular outcome, employment, or certification.

13. Limitation of Liability

To the maximum extent permitted under applicable law, AIATOZ, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Platform, whether based on contract, tort, or otherwise, even if advised of the possibility of such damages.

In any event, AIATOZ’s aggregate liability arising out of or relating to these Terms or the Platform shall not exceed the total amount paid by you to AIATOZ in the six (6) months immediately preceding the event giving rise to the claim. Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable Indian law, including liability for fraud or wilful misconduct.

14. Indemnification

You agree to indemnify, defend, and hold harmless AIATOZ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your breach of these Terms; (b) your Content or Course; (c) your violation of any applicable law or third-party right; or (d) your use or misuse of the Platform.

15. Suspension and Termination

AIATOZ may suspend or terminate your Account and access to the Platform, with or without notice, if it reasonably believes you have violated these Terms, engaged in fraudulent or illegal activity, or where required to comply with applicable law or a competent authority’s directive. You may terminate your Account at any time by following the account closure process on the Platform. Clauses which by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) shall survive.

16. Grievance Officer

In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the details of the Grievance Officer are as follows:

The Grievance Officer shall acknowledge complaints within 24 hours and endeavour to dispose of the same within the timelines prescribed under applicable law.

17. Governing Law, Jurisdiction and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved amicably through good-faith negotiation. Failing such resolution within thirty (30) days, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator appointed mutually by the parties, seated in Bengaluru, India, and conducted in the English language. Subject to the foregoing, the courts at Bengaluru, India shall have exclusive jurisdiction over any matters not subject to arbitration or in aid of arbitral proceedings.

18. Force Majeure

AIATOZ shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, riots, government action, labour disputes, internet or telecommunications failures, or pandemics.

19. Modification of Terms

AIATOZ reserves the right to modify or update these Terms at any time. Material changes will be notified through the Platform or via email at least fifteen (15) days prior to becoming effective, except where changes are required immediately to comply with applicable law. Continued use of the Platform following such changes constitutes your acceptance of the revised Terms.

20. Miscellaneous

20.1 Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

20.2 Waiver: No failure or delay by AIATOZ in exercising any right under these Terms shall operate as a waiver of such right.

20.3 Assignment: You may not assign or transfer your rights or obligations under these Terms without AIATOZ’s prior written consent. AIATOZ may assign these Terms in connection with a merger, acquisition, or sale of assets.

20.4 Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AIATOZ regarding the Platform.

20.5 Notices: All notices to AIATOZ shall be sent to the contact details provided in Clause 21.
